Terms of service – Werbekoordinator Foundation client agreement

Section 1

Subject of the Agreement and Terms of Service

§ 1 Ownership of the site

concluded between:

Werbekoordinator Foundation, registered in the National Court Register, District Court Katowice – Wschód in Katowice, VIII Economic Department of the National Court Register under the number: 0001135818, with the assigned EU NIP no: PL9542878519 and assigned Regon number: 540046202, with a paid contribution of PLN 2,000 from the Founder.

, hereinafter referred to as Foundation Werbekoordinator

appearing in this document under the abbreviated name of Werbekoordinator, which is, for all participants of the information system and documents related to the participants of the service, the Controller, ensuring data protection in accordance with the regulations enshrined on the basis of Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of natural persons with regard to the processing of personal data and on the free flow of such data and repealing Directive 95/46/EC, (Official Journal of the EU L 119 of 04.05.2016, p.1), referred to as , “RODO”.

§ 2 Subject of Activity.

  1. Werbekoordinator Foundation is a business association for the purpose of infusing the funds necessary to achieve its statutory objectives by organizing support in advertising and promotion of small and medium-sized entrepreneurs.
  2. Werbekoordinator Foundation, as part of its activities, has a Web Portal for building a network of Partners and for promotion and advertising through the key mechanism of Direct Marketing, used as the main tool leading to the sale of its own services and those of its Partners, called “Whisper Marketing”.
  3. In particular, the Foundation’s own services include the organization of Packaged Promotional and Advertising Services that bring huge savings to the entrepreneur. The Foundation has also set up its own Artificial Intelligence (AI) Lab to support its services with the tool applications it has for creating various content and graphics.
  4. The Foundation portal will build a continuous expansion of participants – individuals appearing on the site with the status of Promoter. Individuals registering through the purchase of services or individual registration process become a Promoter and a participant in the concluded agreement with the Promoter in these Terms and Conditions.
  5. “Whisper marketing,” as defined by the Werbekoordinator Foundation, is the communication of verbal information in daily interactions in personal and professional life, supported by the resources of the Werbekoordinator Foundation’s web portal and the Werbekoordinator Foundation’s adopted graphic materials, video files and in paper form.
  6. Werbekoordinator Foundation for the implementation of the Marketing task has created a special information system, containing contractual solutions offered to the participants of this system, conducted under the name Werbekoordinator. Werbekoordinator is a name closely related to Werbekoordinator Foundation, which is a trademark protected in the Patent Office, as a special system of advertising promotion for the Services of Werbekoordinator Foundation and other Service Partners, rewarding with gratification for completed tasks of “Whisper Marketing”, leading to the expansion of the number of participants in the system and active promotion of its own and other Service Partners’ services.
  7. Werbekoordinator Foundation, thanks to its own information system, provides a portal for all participants in the service to purchase the offer Werbekoordinator Foundation of training, educational and financial activities in the field of implemented marketing tools of their own design and implementation idea.

§ 3 Portal – Information System

  1. The information system is a work, containing all provisions for the qualification and career in the personal development of each participant who registers as a customer of the Portal, in accordance with the provisions of the Salary and Career Advancement Plan.
  2. The information system is organized in such a way that it fulfills its well-defined role for the participant according to the naming of participants specified in the next section.
  3. For the purposes of the System and the possibility of promotion and financial settlement, the following names have been adopted:
  • Participant – a person who takes the action of participation in the system;
  • Customer – Promoter – a person who has registered in accordance with the requirements;
  • Partner – an entrepreneur entering into a Partner agreement;
  • Advertising Coordinator – an entrepreneur entering into an Advertising Coordinator contract;
  • Regional Manager – an entrepreneur with the status of a

Advertising Coordinator, concluding the Regional Manager’s contract;

  • National Manager – an entrepreneur entering into a National Manager contract;
  • Rentier of the System – an Honorary Regional Manager who meets the requirements used to confer the title of Rentier.
  • Dedified – Payment Services Platform License
  • MangoPay – a Joint Stock Company under Luxembourg law, with a capital of €6,200,000, having its registered office at 2, Avenue Arnelie, L-1125 Luxembourg and registered in the Luxembourg Trade and Companies Register under number B173459, authorized to conduct business in the European Economic Area, authorized as an electronic money institution by the Luxembourg Financial Market Authority, 283 route d’Arlon L=1150 Luxembourg, https://cssf.lu.
  1. In the system, assigned functions to the name can be combined, creating the corresponding status in the system, for the systemic granting of rights and rights to the content and tools of the Portal as a whole, to each participant individually. However, always the participant, entering into additional agreements must be, registered first as a Promoter.

§ 4 Participant Registration.

  1. Werbekoordinator Foundation invites all adults with full legal capacity to register. Persons with organic legal capacity (minors) may also be registered with the consent of a legal guardian with custodial rights for the minor.
  2. Registration follows a specific procedure, ensuring recognition in the network and, if possible, attribution of the referrer.
  3. If the possibility of determining the referrer has been exhausted while applying all procedures for this in the registration system, the registrant, will be assigned directly to the main ID number Werbekoordinator Foundation.
  4. A registrant can only register once in the system, providing his/her name, email address, cell phone number. After authorization in turn, e-mail address by confirming the welcome message received within 24 hours, and then confirming the entry of the code received in the sms to the phone number provided, the record with the data provided will be stored in the database and will obtain the status of Customer-Promoter in the system with the rights contained in this agreement after accepting these regulations and the content of the agreement contained therein.
  5. Saving the record in the database will also result in a second email with information, necessary for the first registration in the system and activation of the “Virtual Office” of the system participant.
  6. After the participant’s registration and enrollment procedure is completed, an individual QR code and EAN -8 will be generated, which will be an identifier in the Werbekoordinator Foundation information system and mobile and banking applications linked to Werbekoordinator Foundation or which are Werbekoordinator Foundation applications.
  7. Registration correctly recorded in the database entitles each participant, who is an individual, to use all available promotional tools and materials for personal development in the resources of the portal, which will enable promotion to other professional positions in the system.
  8. Obtaining the status of Promoter entitles you to conclude additional contracts and agreements for the purchase of services and goods, as well as to promote and indicate how to purchase in the store Werbekoordinator Foundation, performing “Whisper Marketing”.

§ 5 Contractual Provisions with System Participant.

  1. Werbekoordinator Foundation being the organizer of its own promotion and advertising services, conducting sales on the basis of separate contracts related to the purchase of the offer of Werbekoordinator Foundation, and running an information system called Werbekoordinator Promotion and Advertising Portal for any industries in the market that wish to take advantage of the opportunities to promote their commercial offerings to Promoters Werbekoordinator Foundation, ensures that everyone receives their income in the system and cashback only for the implementation of “Whisper Marketing” according to the Remuneration Plan, which is an inseparable document in the contract with the Promoter.
  2. Cashback in the computer system is a partial Cashback benefit for Promoters and a Cashback commission benefit for participants, establishing a corresponding additional agreement with the Werbekoordinator Foundation. Collaborative ancillary agreements are concluded with entrepreneurs. These revenues are invoiced according to the accounting rules in each participant’s country of operation.
  3. By registering on the Werbekoordinator Foundation website, you agree to this agreement. Also you agree to the provisions of the MONGOPAY Payment Services Framework Agreement, “Payment Services Framework Agreement”. The agreement comes into effect after you complete the registration procedure on the portal by providing the necessary personal information and pressing the “Register” button on the registration page. The next step of registration is to confirm the email address in the email received and to confirm ownership of the phone number with the code received in the email. In order to obtain MANGOPAY payment services is to go through the required procedures on the Dedified license platform. Link to the page with the regulations in Polish “Regulations of Dedified”.
  4. This agreement also specifies which of your data will be processed by us and how it will be used. The Werbekoordinator Foundation places the highest priority on the confidentiality of the personal data of all participants in the system. This agreement describes your rights with respect to your personal data and the steps we will take to respect your rights.
  5. Werbekoordinator Foundation strives to make this agreement accessible, meaningful and understandable to you. If the provisions of this agreement contain a provision that you do not understand, please contact us in the Help section and we will provide any necessary clarification.
  6. The Werbekoordinator Foundation Services is primarily an online resource that conducts in-store sales and provides an opportunity for participants to obtain personal and career development along with receiving partial cashback on purchases made on the Werbekoordinator Foundation Services and among Werbekoordinator Foundation Partners where economic turnover has been made by our identified Promoters, using available ID or (QR Code, EAN) numerical identification. Turnover generates Commission for Werbekoordinator Foundation, which is subject to Cashback accrual in accordance with the Remuneration Plan.
  7. The promotion and referral system used, as defined in the Remuneration Plan, also allows you to benefit financially from the purchases of other Promoters in your network of participants, according to the rules described in the Remuneration Plan.
  8. Werbekoordinator Foundation never charges any conditional fees for the opportunity to register and enter into additional agreements with Werbekoordinator Foundation. If the registration of the promoter is carried out through the https://www.naffy.io/fundacja_werbekoordinator store, the minimum unit fee of contract administration on the Naffy site is required. In the activity of Werbekoordinator Foundation and the organization of “Whisper Marketing” by Werbekoordinator Foundation, the agreements concluded with the participants of the system contain only expectations from the other party to carry out “Whisper Marketing” in return for which they undertake to pay cashback and other remunerations specified in the Remuneration Plan, which bring turnover for Werbekoordinator Foundation and turnover for Werbekoordinator Foundation Partners realized by identified Partners cooperating on the basis of Success Fee remuneration.
  9. In contracts concluded with entrepreneurs for tasks beyond “Whisper Marketing”, the Remuneration Plan specifies the relevant commission and bonuses to the relevant contract.
  10. Werbekoordinator Foundation agrees to accrue the refund only after identifying with a QR code or other identifier on the website or mobile applications, the person making the purchase and generating the turnover for Werbekoordinator Foundation or Werbekoordinator Foundation Partners. In order for the refund to be calculated in the system in accordance with the Remuneration Plan, each turnover made must be identified with an OR code or other identifier held in the Werbekoordinator Foundation system.
  11. Werbekoordinator Foundation with each Affiliate enters into a contract for recommended promotion and advertising through “Whisper Marketing”, while the Affiliate in the contract agrees to pay the Commission specified in the contract, which is subject to distribution according to the Remuneration Plan. In the event of cancellation of purchase or return of goods or services, which will result in withdrawal of the turnover made and adjustment of the commission paid to Werbekoordinator Foundation, the accrued Cashback due will be immediately adjusted in the system by the undue value.
  12. In the event that the wrongly accrued amount is distributed by the Promoter and no due cash refund is accrued from other referrals, the Promoter is obliged to voluntarily return the used cash within 3 business days.
  13. Cashback accrual system Cashback in certain cases, which result from the agreement with Partners, can be accrued in real time and remain for immediate use at the will of the Promoter.
  14. Cashback accruals occur only after confirmation of the amount of turnover made by the Promoter, which is subject to payment of the due commission to the Werbekoordinator Foundation by the Affiliate.
  15. If the Affiliate does not notify the Promoters of purchases made outside of the Promoters’ QR code identification system, or if the Werbekoordinator Foundation does not receive commissions, the Werbekoordinator Foundation will not be responsible for the failure to accrue cashback for the reasons stated above until the appropriate information or commissions are received.
  16. In the event that the Partner is found to be attempting to circumvent the Promoter’s identification of the purchase of its offer, the Werbekoordinator Foundation has the right to immediately terminate the agreement and remove all information about the Partner’s offer from the system, along with a notification on the Werbekoordinator portal pages about the Partner’s fraudulent activity.
  17. If the Affiliate, in accordance with the Supplemental Agreement, fails to ensure the proper reserve of funds for the accrual of immediate cashback or fails to notify the Promoter of purchases made by the Promoter, or the Werbekoordinator Foundation does not receive the commission due, then the Werbekoordinator Foundation will not grant cashback to the Promoters until the proper notification or commission is received, and will not be liable to the participants for the failure to grant cashback for the aforementioned reasons.

§ 6 Customer Agreement.

  1. How to become a customer – service promoter
  1. In order to become a participant in the Werbekoordinator Foundation Promotion and Advertising Portal and use its resources, you must register on the Werbekoordinator Foundation Portal website and agree to this Agreement. Registration is required in order to create a Promoter user account, assign an internal digital identifier in the form of numbers, a QR code and, where applicable, an EAN code, used to identify and calculate cashback and other compensation for sales made to Werbekoordinator Foundation and other Werbekoordinator Foundation Partners.
  2. The Werbekoordinator Foundation information system includes all tools operating on the Internet under the domains https://werbekoordinator.pl; https://werbekoordinator.de and subdomains of these domains.
  3. Registration and obtaining the status of Promoter can be done only by adults or minors, registering only on the recommendation of their legal representative. By registering, the participant agrees to the terms and conditions set forth in this agreement and confirms that he or she is of legal age or registers with the consent of his or her legal guardian, being referred in the Promoter system, a registered legal guardian who already has the status of Promoter granted in accordance with the laws of the country of which he or she is a citizen.
  4. One person can have only one participant account with the initial status of Promoter. Otherwise, Werbekoordinator Foundation reserves the right to block and delete duplicate Promoter accounts.
  5. Werbekoordinator Foundation recommends that you do not share or transfer your login and password information to others, do not store it on other computers, cell phones or tablets. Under no circumstances will the Werbekoordinator Foundation be liable for any damages that a participant may suffer due to this negligence.
  6. If the Promoter of the Werbekoordinator Foundation Portal violates this agreement or the rights of third parties or jeopardizes the operation of the Portal and the entire service, the Werbekoordinator Foundation may block the participant’s account with the possibility of its subsequent deletion and terminate this agreement with the Promoter unilaterally and outside of court proceedings by submitting the appropriate notification to the Promoter at the email address that appears in the system, provided during registration on the service or its subsequent change during the use of the Virtual Office service.
  7. Werbekoordinator Foundation may change the functionality of the service, but guarantees the unalterability of the rules for calculating cashback. The remuneration rules due to participants under separate agreements are subject to change. By agreeing to this agreement, the Promoter confirms that the use of the Portal at Werbekoordinator Foundation may be treated as acceptance of the changes made to this agreement.
  8. If the Promoter has changed his/her email address or other data provided during registration for any reason, he/she is obliged to change them also in the edited fields of his/her Promoter account on the Werbekoordinator Foundation Portal in his/her Virtual Office. Otherwise, Werbekoordinator Foundation will not be held responsible for any problems occurring while using the service.
  9. Receiving cashback funds.
    1. If the Promoter has purchased the offer of the Werbekoordinator Foundation or other Partners in accordance with all the conditions, in particular, the correct identification with the QR code, and the Partner’s commission has been deposited or transferred in advance, in his financial account in the Virtual Office, the cashback will be automatically credited to the Promoter’s account on the site.
    2. Once the amount of funds has been credited to the account, the Promoter, to the extent possible provided by the Partners, may use the credited value to pay for any subsequent purchases among the Partners allowing this form of payment, or after reaching the contractual amount set on the page for transferring funds in his Virtual Office, may transfer his funds in a convenient manner available in the financial section in his Virtual Office.
    3. Werbekoordinator Foundation always determines the amount of cashback according to the accepted mathematical formula used for cashback calculations and does not interfere with its accrual under any circumstances. The accrual system is secured by an additional information security procedure, and any entry into the scripts, performing the accrual, must be justified in writing by the Information Protection Officer, drawing up an appropriate protocol.
    4. A purchase made that has been correctly identified with a QR or EAN code and has been paid for is a condition of receiving Cashback for all participants. The Werbekoordinator Foundation recommends keeping all information about the paid purchase available for use in the event of a claim for Cashback accrual.
    5. Note: In order to avoid non-settlement or rejection of Cashback accrual, it is forbidden to make numerous individual purchases at the same store that applies a variable commission rate in a short period of time. Such actions during a systemic check may be considered fraudulent and result in the subsequent blocking of the Promoter. Note that in some cases the Affiliate cannot correctly identify the order placed and will not pay commission for it. This may be the result of computer viruses or the installation of additional browser extensions, interfering with the operation of the computer or mobile application. In such a case, Werbekoordinator Foundation is not responsible for the erroneous calculation of cashback.
    6. In particular, we draw your attention to the fact that the Werbekoordinator Foundation is in no way a party providing tax settlements for the Promoters of the Werbekoordinator Foundation Portal. All statutory obligations in each country of one’s tax residence, in particular tax obligations and fees related to cashback received and commission and bonus compensation, must be fulfilled by Werbekoordinator Foundation Promoters themselves. If the Promoter fails to meet its tax obligations, Werbekoordinator Foundation will not be held liable.
    7. Werbekoordinator Foundation reserves the right to refuse to calculate cashback or remuneration for completed purchases in the absence of confirmation of the purchase by the Partner or ongoing complaint proceedings as to the identification and value of the purchase and non-payment of commissions by the Partner, where the period of complaint proceedings exceeds 12 (twelve) months from the date of purchase.
    8. The Werbekoordinator Foundation reserves the right to authorize an Affiliate who has sold a specific product or service that is subject to the legal product return rules or the right to terminate concluded distance sales contracts, to deduct cashback for returned products and services in the amount of the agreed commission in the Affiliate’s ancillary contract. The Promoter, if he/she does not wish to submit to this provision in this contract, may make a purchase outside the Cashback system without showing his/her OR or other ID for the purpose of identification and calculation of Cashback.
  10. Receive salary, bonuses and other rewards.
    1. The Werbekoordinator Foundation runs a referral system according to its idea and formula written in the Remuneration Plan.
    2. Cashback service The Werbekoordinator Foundation offers all participants the opportunity to receive additional cashback remuneration accruals for participants who have Promoter status and enter into an additional agreement used in the system between entrepreneurs and the Werbekoordinator Foundation.
    3. All participants have the right to use any promotional tools supporting “Whisper Marketing” made available on the Portal website in all domains and sub-domains of the system in the form of promotional links, referral OR badges, graphic materials, graphic presentation or recorded promotional videos.
    4. Each participant with access to his/her Virtual Office will be able to decide for himself/herself about his/her personal development and enter into the relevant additional contracts at any time, fulfilling certain conditions for each contract. Each participant will be informed of the possible income, resulting from the Remuneration Plan, up to the date it would have been shown, had he or she had the relevant contract and was entitled to receive it.
    5. The possible remuneration shown is for informational purposes only and is not due for payment at any time. The remuneration due considered for payment will be calculated from the date of conclusion and validity of an additional agreement with the Werbekoordinator Foundation, which may be concluded with entrepreneurs or statutory associations and other organizations subject to mandatory registration in the State registry systems of the respective countries where activities are carried out.
    6. Referral and promotion is an inseparable stage in the creation of one’s own Consumer Organization, which is used to calculate the basis of any cashback or commission remuneration from the concluded additional contracts, consisting of the realization of the turnover of one’s own or his entire organization. Therefore, referral is the main activity of every Promoter to build his Consumer Organization, being the basis for his possible professional future entrepreneurship.
    7. It is categorically forbidden in this agreement:
  • create outside the system its own contracts with entrepreneurs using the referral system and Promoters using QR or EAN identifiers, belonging to the system Werbekoordinator Foundation on the provision of construction of separate consumer organizations in the market of their activities;
  • The sending of spam by Promoters related to the referral and purchase recommendation program among Werbekoordinator Foundation Partners. It is strictly forbidden to send spam via private messages on social networks, affiliate store groups and communities, email newsletters, etc. to solicit recommendations or referrals. If a Promoter notices and wishes to report the sending of spam through our promotional tools in the system, he/she can write about it in the “Help” tab , and Werbekoordinator Foundation will take appropriate action;
  • Create customized contextual ads to gain Promoters and referrals;
  • Create your own mobile applications, extensions and groups on social networks in the name of Werbekoordinator Foundation using the Werbekoordinator Foundation Logo. This also applies to the downloading and use of web pages in whole or in part of the Werbekoordinator Foundation Portal.
  • use the brand names of Werbekoordinator Foundation Partners and other Werbekoordinator Foundation brands and Partner stores in the domain names of websites created to increase traffic and attract referrals and recommend the Werbekoordinator Foundation compensation system contained in the Compensation Plan.
  1. In connection with a violation of any provision of Section 3.7, access may be blocked without the possibility of payment of any remuneration and cashback, and the Werbekoordinator Foundation may unilaterally terminate this Agreement without the possibility of legal proceedings.
  2. Werbekoordinator Foundation reserves the right to unilaterally change the Remuneration Plan with regard to additional cooperation agreements at any time. At the same time, it guarantees the unchangeability of the way Cashback is calculated for both participants with Partner status and entrepreneurs with additional agreements. Cashback remuneration is accrued and paid as long as the Werbekoordinator Foundation receives Commissions on the turnover of Partners with whom there is realized turnover by our identified Promoters.
  3. A loyalty program is available for Promoters in an additional agreement with the Werbekoordinator Foundation and in their Virtual Office, which allows to increase the benefits for Promoters, by applying appropriate discounts for Promoters.
  4. The terms and conditions of the Loyalty Program may not change the commission rate specified in the Partner’s contract. In the case of unilateral reduction of the commission paid by the Partner Werbekoordinator Foundation, which allows to give additional discount in the Loyalty Program, Werbekoordinator Foundation reserves the right to unilaterally change the agreement and prevent the Loyalty Program from being used in the Partner’s promotion.
  5. The launch of the Partner Loyalty Program is a privilege of the partner and is done free of charge as a tool of the Werbekoordinator Foundation system.
  6. Held OR Promoter IDs can also be used in launched Loyalty Programs to identify the allocation of special Loyalty Program benefits.
  7. The period, scope and duration of the Loyalty Program is specified each time in the additional Loyalty Program regulations saved in the Werbekoordinator Foundation information system, which is posted under the terms of the Loyalty Program and the fulfillment of the Loyalty Program requirements.
  8. Withdrawal of Allocated Cashback.
    1. Withdrawal of the awarded cashback from the Promoter’s internal account in the Virtual Office is done in the manner indicated by the Promoter, which is offered in the billing system in the Virtual Office.
    2. It is always possible to use the account balance to cover a new purchase by identifying with a QR code among Partners using this option. The Partner using the account balance payment method will be required to mark properly in a conspicuous place at the store checkout or on the websites of its stores with an appropriate graphic sign or sticker.
    3. In the case of ordering a cash withdrawal in an accessible manner at the Virtual Office, this opportunity is made available once you have the appropriate balance in your account, as specified in the tools for disposing of your balance.
    4. The possibility of disposition of one’s account balance requires additional information required by the tax residence systems of each participant in his country. Activation in the Virtual Office concerning the disposition of the value of the account, may be subject to the provision of additional required information.
    5. The Werbekoordinator Foundation will notify you of your cashback withdrawal via the notification method selected by you in the appropriate section of the Virtual Office. You will always be notified by email to the email address you provided and activated during registration about the balance of your funds and other important information after each transaction that reduces your balance.
    6. The Werbekoordinator Foundation’s obligations to fulfill the instructions for refunds or cashback or commissions and bonuses are deemed fulfilled.
    7. The Werbekoordinator Foundation is in no way responsible for the further use of the money received.
    8. For payments, the Werbekoordinator Foundation may use third-party services and software solutions.
    9. Werbekoordinator Foundation reserves the right to unilaterally change the terms and conditions of the cash disbursement methods used after notifying Promoters of the changes to be effective from the date indicated forward to the e-mail address appearing in the Virtual Office’s personal data.
    10. In the event of accrual of Cashback for a Promoter, the Promoter does not use the balance for re-purchase, or does not decide to withdraw it in the manner provided in his Virtual Office, Financial Section, by the end of each calendar year, the Cashback due shall be forfeited and adjusted to zero as of January 1 of the following year. The amount of the adjusted cashback shall remain at the disposal of the Werbekoordinator Foundation with an indication to donate the value to charity.
    11. The Promoter will be notified by email 14 days in advance of the end of the calendar year that he/she must make an instruction of his/her account balance in the Virtual Office in the financial section and the consequences of not doing so.
  9. Werbekoordinator Foundation responsibility and authority.
    1. Werbekoordinator Foundation is a seller of its services and goods and is an advertising, training and promotional platform.
    2. Werbekoordinator Foundation guarantees the quality of goods and services offered in its own online store, where you can conclude a contract to purchase a service or goods.
    3. The Werbekoordinator Foundation also conducts sales purchased in the traditional “contract on paper” manner, offered by entrepreneurs cooperating with the Werbekoordinator Foundation under a side agreement.
    4. Advertised offers of Partners are not subject to the liability of the Werbekoordinator Foundation. Any claims for defects in the goods or services of Partners, the complainant should address directly to the Partner selling the goods or service and the provider of the corresponding service.
    5. In no event shall Werbekoordinator Foundation be held responsible for any changes or discontinuance of any of the Partners who advertise on the Werbekoordinator Foundation Portal, or for any effect on the calculation of commissions due in connection therewith. Werbekoordinator Foundation is in no way responsible for the change or expiration of any special offers offered outside of the Werbekoordinator Foundation system, in particular promotional codes, customer cards or coupons, etc., on Partners’ sites outside the https://werbekoordinator.pl domain.
    6. Werbekoordinator Foundation is not responsible for the quality of public communication networks that provide access to the Werbekoordinator Foundation Service or Partners’ sites.
    7. Werbekoordinator Foundation shall not be liable for any failure or improper performance of obligations by Partners in the distribution of their service offerings or products posted in their online store on the Werbekoordinator Foundation Portal or at any other online address.
    8. The Werbekoordinator Foundation shall be liable for the performance of its obligations regarding cashback and the remuneration of commissions and bonuses under the Compensation Plan. However, the Werbekoordinator Foundation’s liability is limited to the amount of the actual damage caused to the Promoter by his or her intentional action, having a supplementary agreement in place.
    9. Werbekoordinator Foundation reserves the right to block or delete the Promoter’s account if no purchases have been made on this account for a period of 1 year counting from the date of registration or from the last purchase of an offer from the Werbekoordinator Foundation store or registered turnover among Partners’ offers, which will result in the absence of any Cashback accrual.
  10. Intellectual Property Law.
    1. Upon registering as a Promoter on the Werbekoordinator Foundation Portal or when using other options of the service, you acknowledge that the Werbekoordinator Foundation owns all content on the website displayed on the Werbekoordinator Foundation Portal and on the corresponding mobile applications belonging to the Werbekoordinator Foundation. The names, logos, trademarks and trade names of the Partners and other data, intellectual results and means of personalization published and made available on the Werbekoordinator Foundation Portal belong to the legally protected intellectual property of their respective owners.
    2. No one has the right to copy, reproduce, publicly duplicate or transmit the output of the website and the entire Werbekoordinator Foundation Portal or to use the documents and the mathematical formulas of the system contained therein without the prior consent of Werbekoordinator Foundation.
    3. By using the Werbekoordinator Foundation Services or any other Werbekoordinator Foundation materials, you agree to abide by all additional warnings provided by Werbekoordinator Foundation regarding copyright and trademark protection, protection of other copyrighted subject matter contained on the Werbekoordinator Foundation Portal pages and Werbekoordinator Foundation mobile applications, which are provided to inform and comply with all other laws and restrictions.
  11. Transfer of rights and obligations.
    1. The Werbekoordinator Foundation reserves the right to transfer all or part of its rights and obligations under this agreement to any natural or legal person without the prior consent of the promoter or participant.
    2. The Promoter may not transfer its rights and obligations to third parties without the prior written consent of an authorized representative of the Werbekoordinator Foundation.
    3. The acquired rights and obligations of the Promoter are subject to inheritance under the general rules of the Civil Code in each country of residence of the Promoter.
  1. Breach of customer contract.
    1. Werbekoordinator Foundation reserves the right, in its sole discretion, to unilaterally suspend Cashback accrual and block, in whole or in part, access to the service to any Promoter who has violated the terms and conditions of this agreement.
    2. Specific violations of the terms and conditions include situations in which there are:
  • Notify the Partner that the cash refund due to the Promoter exceeds the actual value of the order;
  • Regular, recurring large orders over a short period of time for large amounts among Retail Partners;
  • Fulfillment of the order with the accrual of cashback by the employee of the Partner himself, except for special contest actions carried out by separate order;
  • Registration of multiple Promoter accounts in the Werbekoordinator Foundation Portal in order to grant the rate applicable to the new Promoter;
  • Falsifying screenshots or receipts and other sales evidence;
  • Situation in which a store or other distribution point, belonging to the Partner, refuses to identify and pay the turnover commission due to the Werbekoordinator Foundation;
  • Other written substantiated and substantiated complaints of fraud from stores or distribution points of Partners
  1. Any attempt to deceive or mislead the Promoter may result in the suspension or deletion of the Promoter’s account, which will result in the immediate termination of all other contracts entered into. All cashback upon deletion of the User’s account, if any, is at the disposal of the Werbekoordinator Foundation.
  2. If the Promoter suspects fraud, he/she can inform the Werbekoordinator Foundation in the “Help” section. The Promoter’s message will be taken up by the relevant service, and the service’s staff will take any necessary action first.
  3. A case of service failure.
    1. Werbekoordinator Foundation assumes and takes into account the possibility of malfunction of the service, caused by technical failures or intentional acts of third parties. In such a case, Werbekoordinator Foundation shall not be liable for the non-settlement of cashback and commissions and bonuses and other non-performance or improper performance of its obligations under this agreement. Werbekoordinator Foundation reserves the right to interrupt the service in part or in whole of the Portal and its elements until hazards and errors are removed. Any service outage will not be considered as a reason for refund of money accrued and paid.
    2. However, the Werbekoordinator Foundation reserves the right to revoke accruals that were made while the system was malfunctioning, that were not distributed, and there is an objective reason for this or there is a suspicion of possible fraud or error.
    3. Werbekoordinator Foundation will make every effort to rectify any technical faults that arise as soon as possible and within a reasonable period of time.
  4. The duration of the contract and its legality.
    1. This agreement is considered to be concluded upon completion of the Promoter’s registration, (acceptance of the terms and conditions of the agreement, confirmation of the email address and entry of the obtained sms code to confirm the mobile number) and remains in force until the account is removed from the site by either party.
    2. Each registered Promoter in his Virtual Office has the right to delete his account at any time. Upon deletion of the Promoter’s account, all other concluded contracts with Werbekoordinator Foundation, where the basis of the contract is the Promoter’s active account on the site, will expire immediately. Cashback and other commissions and bonuses, if any, are at the disposal of Werbekoordinator Foundation.
    3. This agreement and other agreements entered into with Foundation Werbekoordinator and other relationships between Promoters and Foundation Werbekoordinator Partners shall be governed by Polish law to the extent possible, taking into account national conflict of law provisions applicable to the parties to this agreement.

  • Promotion of the system of training and education in the field of personal development of each participant of the system included in the Werbekoordinator Foundation Portal, in particular, notification of the possibility of concluding a Partner’s agreement with a portfolio of services for his/her enterprise, providing information about the possibility of concluding agreements of the Advertising Coordinator and Regional Manager, along with providing information about the benefits of such an agreement for the entrepreneur, any promotions contests and other benefits and discounts for Promoters, etc. on the pages of the Werbekoordinator Foundation Portal, using online tools on the Werbekoordinator Foundation Portal and pointing out in “Whisper Marketing” the sources of obtaining relevant information on the Werbekoordinator Foundation Portal;

  2. If the identity card or passport is replaced, the Promoter is required to go through the identification procedure again to change the restricted data.

  2. The system of passwords in mobile applications to identify the purchase made consists of:
    1. Promoter’s two-step mobile application launch password – The first step is to confirm access to the Virtual Office with the established general password for access to the Werbekoordinator Foundation website and to its Virtual Office, allowing in the mobile application to access the promotional part of building a network of Promoters and other participants in the Werbekoordinator Foundation System.
    2. Password to launch in the Mobile application to access the payment of the balance accumulated in the system account or to issue an instruction to transfer funds to the selected available way in the system, possible after obtaining an SMS code or performing the procedure of checking TAN in a separate mobile application, generating for the access control system special graphic QR codes with a substitute digital-letter combination to be entered in the TAN access control window to the financial section.
    3. Introduction of a time protection procedure for the second stage of access via TAN at a pre-scheduled time, after which a new procedure for confirming access to the financial section will be required. Despite the memorization of the SMS code provided, the control of the second stage access forced each time after a certain period of inactivity in the mobile application.
    4. Introducing access protection for the registration application at the Partner by identifying the Promoter and the amount of turnover realized by the Participant with a QR ID, the same as for the Promoter’s application.   • Cookie files stored on your devices, used to personalize your activity and behavior on the pages of the Werbekoordinator Foundation system and other Partners’ sites on the Internet;
  • Your browser’s cache resources (files stored on your Device that replay certain portions of pages you have previously visited on the Werbekoordinator Foundation Portal, reducing the loading time of those pages.
  1. In order to perform the contract between us, we obtain additional external data:
  • Information from Partners about purchases made of their goods or services;
  • Information about your existing Gmail contacts, if you use the Gmail sharing feature;
  • Data on payment systems, banks, communication system operators and other intermediaries involved in cashback;
  • Data and information that are additionally required to meet legal requirements or decisions of the competent authority.
  1. The way your personal data is processed.
    1. Your personal data is used according to the specific purpose for which it is processed. We pay special attention to the specific processing purpose for which we use your personal data with the utmost care.
  2. The use of your personal information for the purpose of registering participants in referrals and creating your consumer and promotional-advertising organization we have specified in Section 7.1. and 7.1.1. as required for the purpose of identifying you as a contracting party with sufficient identification tools in the registration procedure.
    1. In order for registration to be successful, your identification information listed in Division 1, § 3, item 6. must be used for correct assignment in the referral system of your consumer organization.
    2. At each stage of providing us with the data listed in Section 13.1, we collect, record and thereby systematize your identification data, also performing activities by automated means. We may also correct this information to ensure that your identification data is accurate and functioning correctly throughout the system.
    3. Your identification information will be retained by us until the termination of the Agreement (blocking and deletion of your Account). After deletion of your Promoter Account, we leave unchanged one identifier required by the system to control your attempt to re-register in the system. The remaining data is permanently deleted and destroyed.
  3. Use of personal data in order to perform the contract as accurately and adequately as possible, especially for the purpose of promotion and advertising under the contract, implementation of the referral program, promotion of Werbekoordinator Foundation’s own services and Werbekoordinator Foundation’s Partners, improvement of performance notifications under the contract, the following information will be processed in any way necessary:
  • Identification information provided by you or assigned to you listed in Division 2, Section 7.1. and 7.1.1;
  • Provided by you additional information necessary to conclude additional contracts with the entrepreneur listed in Section 7.2;
  • Standard disclosures resulting from the exchange of information for settlement purposes disclosed by Partners;
  • Informing Partners of the goods or services purchased by the Promoter through the occurrence of purchase through the Werbekoordinator Foundation’s in-store purchasing system.
  1. Automating the processing of the information obtained allows us to infer data about your preferences, which will then be used for the full and proper performance of the contract, in particular for Promotions under the contract and the promotion of the services offered in the Werbekoordinator Foundation store. This means that we take into account, for example, offers from advertisers that may be of interest to you in terms of your behavior on the Werbekoordinator Foundation sites, geographic location determined through GPS as to the display of promotions related to your region of residence. We may also personalize promotions for you so that you are more likely to receive information that is of greater interest to you.
  2. We propose a service for purchasing our services and an advertising platform for our Partners so that our current and future customers can be fully informed about our services in the Werbekoordinator Foundation store, new services and products, and be informed about the offerings of our Partners so that the Werbekoordinator Foundation Portal allows you to more actively use the service and benefit from all the advantages offered by Werbekoordinator Foundation. Writing about news on the site, possible changes to the terms and conditions or posting the latest version of the agreement and other important regulatory documents. If you registered by scanning a QR code or a referral link using a URL provided by another customer, or hit the registration form after seeing a personalized online advertisement, we will provide your referrer with data from your user account on the site (First Name, Last Name, Digital ID, Avatar) and order information, (date, order value, balance of cashback accrual status after orders and other statistical information). We do not inform the Referrer about the specific goods you ordered.

In case you have registered directly under the Werbekoordinator Foundation main number via general access to the Werbekoordinator Foundation Platform, your data will also be used, and the acquired referral data will be used only for statistical purposes and for the purposes of the Partners’ CMS.
  3. If you use the Gmail sharing function to invite new users to the Werbekoordinator Foundation Platform as part of the referral program, we will receive and use a list of your existing Gmail contacts in encrypted form to send our regular email with your referral link and invitation to participate in becoming a Promoter and take advantage of all the benefits of our Service.
  4. For cashback payment, we need to know how and where to transfer the funds. We need to be able to check the status of payment processing. In the case of using the account balance for direct payment for an order, we need to have the information of the Partner’s data, the amount of the paid transaction in full or in part. In the case of partial payment, to know the amount of the payment, and to know the amount and method of payment of the remaining amount due for the order, and information about the completed status of the entire payment with the Partner. For this purpose we obtain information from the systems:
  • Payments;
  • Banks;
  • Communication system operators;
  • Other intermediaries involved in the calculation of commissions from the Partner

The above information will be recorded, written down, systematized, segregated and used by us to calculate cashback and to issue trigger documents calculating cashback and to dispose of your financial account balance. The above personal data will be kept by us until the termination of the contract between you and Werbekoordinator Foundation. Your data after deletion of your account will be permanently deleted and destroyed, with a single value retained to identify your renewed attempt to register in the system.

When conducting Direct Marketing (“Whisper Marketing”), your data will be used for commercial purposes so that you can receive information about the goods and services of Werbekoordinator Foundation Partners that may be of interest to you. We collect, record, systematize, segregate and use the following information for Direct Marketing purposes:
  • Identification data provided in Division I paragraph 3 item. 6. Without sharing passwords to the Promoter’s account;
  • Additional identification data listed in 7.1. and 7.1.1.
  • The information listed in section 7.2.

Automated processing of the above data means to you that our goal is to determine the likely effectiveness of Direct Marketing. We may also share the above data with Partners with whom the Werbekoordinator Foundation has entered into a relevant advertising, promotional or marketing agreement, including through Promoters and use of various statistical, technical and marketing tools

  1. For the avoidance of doubt, by consenting to the processing of your personal data for Direct Marketing purposes, you acknowledge that you have read the rules for the processing of your personal data in external tools as follows
  1. Using personal information during market research for marketing purposes Werbekoordinator Foundation, we will conduct market research for direct marketing Werbekoordinator Foundation in terms of the behavior and interests of Werbekoordinator Foundation Promoters. Marketing is a major contributor to the development of Werbekoordinator Foundation’s business, which may lead to future improvement of services and service delivery to Partners.   • Provided additional identification data when entering into additional contracts;

We may also provide the above information to Werbekoordinator Foundation Partners with whom Werbekoordinator Foundation has entered into relevant agreements to conduct analysis, statistical research, etc. using the entire Werbekoordinator Foundation consumer organization in all countries of operation of the Promoters.
  2. We also take this information into account when developing market strategy and services and products Werbekoordinator Foundation.
  3. We will keep the above personal data until the contract between you and Werbekoordinator Foundation is terminated and you lose your Promoter status. Once you lose your Promoter status, the data stored by Werbekoordinator Foundation will be deleted and permanently destroyed, and the research results will be depersonalized.
  4. The transfer of data outside the European Union to third countries involves the risk of not ensuring an adequate degree of data protection. Since only the non-sensitive data provided during registration with the generated numeric ID and QR Code will be transferred, the risk of the data being used for other purposes is minimal. However, the transfer of this data poses risks for which the European Commission has not confirmed an adequate level of data protection through an adequacy decision.

24.1. In the event of such a transfer, the likelihood of leakage of the data provided increases, as well as the impossibility of eliminating this data leakage in the short term. Your personal data may be published and used by persons acting in bad faith without your consent.

24.2. By consenting to the processing of personal data within the framework of your contract with Werbekoordinator Foundation, you expressly confirm that you understand and accept the risks set forth in this section 24.

24.3. By consenting to the processing of your personal data for the purpose of performing Direct Marketing, you expressly confirm that you fully understand and accept the risks listed in Section 24.

25 The Werbekoordinator Foundation will take appropriate steps to ensure that these risks described in Section 24 are mitigated by incorporating, where possible, changes to contracts and agreements with recipients of your personal data that are consistent with typical contractual terms approved by the European Commission.

26 The Werbekoordinator Foundation will generally use your personal data in accordance with applicable statutory provisions. Your personal data will only be processed if:

  • You have consented to the processing of your personal data as specified in the contract you are entering into;
  • The processing of your personal data is necessary for the performance of the contract;
  • The processing of your personal data is necessary to fulfill the requirements of the law, a court ruling, or a decision of another competent state or local government authority;
  • You yourself have shared outside the Werbekoordinator Foundation system your personal information, which has been published.

27 The Werbekoordinator Foundation will make every effort to secure the storage of your personal data using the highest technological standards based on established databases located primarily in Germany. The Werbekoordinator Foundation creates and stores security copies of the databases in selected server rooms that meet the highest standards within Europe.

28 Werbekoordinator Foundation will take or provide appropriate technical, organizational and legal measures to protect your personal data from unauthorized or accidental access, unlawful or accidental collection, storage, use, transmission, blocking or destruction. Werbekoordinator Foundation will also take appropriate safeguards against other activities or accidental data breaches by:

  • Appointment of an IT Project Engineer to manage the system and its upgrade
  • Appointment of Data Protection Officer;
  • Appointment of an Information Security Inspector;
  • Minimize the number of employees who have access to personal data;
  • Conduct training of Werbekoordinator Foundation employees on legal requirements and regulations for processing and protection of personal data;
  • Implement any required means of protecting access to personal data and information with a special password system or other technology to prevent unauthorized access at the site where your personal data is processed by Werbekoordinator Foundation employees.

29 The Werbekoordinator Foundation at the site of processing of Personal Data, provides at the highest level such activities as:

  • Registration and physical storage of data carriers and registration of their circulation, which prevents their misappropriation, replacement, unauthorized duplication and destruction;
  • Identification of security risks to the confidentiality of personal data of their processing with the development of risk models;
  • Develop a data protection system for an appropriate class of information systems based on a threat model;
  • Testing the readiness and effectiveness of information protection measures;
  • Introduce a system for employees to access information resources and data processing and data protection software and hardware on a permit basis;
  • Registration of activities of the authorized employee to act in information systems that process personal data and information at the place of processing Werbekoordinator Foundation;
  • Introduce a system of passwords to secure employee access to systems that process personal data, with periodic protocol setting of applicable passwords for all employees Werbekoordinator Foundation;
  • Use of control measures for communication ports, data input and output devices, removable media and external data storage;
  • Anti-virus control to prevent malicious programs and viruses and bugs from entering the internal networks of processing media connections;
  • Detecting attempted intrusions into the network of data processing media that violate established requirements for personal data security controls or create conditions for such a violation;
  • Establish a control center for the data protection system;
  • To instruct employees who use the privacy protection measures of information systems for processing personal data on the applicable work regulations;
  • Keeping records of the data protection measures used, relevant operating documents and technical documentation;
  • Monitoring of user activities, processing of detected data security violations.

30 Respecting your rights regarding your personal data, we support your actions in exercising these rights in the event of your request to exercise any of your rights set forth below, ensuring that the request is fulfilled within a reasonable period of time, not exceeding 14 days counting from the receipt of the claim.

30.1. This period may be extended to 2 (two) months in case of difficulties or a large number of requests from Promoters Werbekoordinator Foundation. We will inform you of the extension in advance by writing to the address listed in your Virtual Office.

30.2. You can exercise the following rights after submitting your request to us:

  • Access to information collected and related to the processing of your personal data;
  • Access to information related to the subject matter of the agreements between us;
  • Obtain an electronically generated copy of all personal data in a suitable computer- or machine-readable format by the devices used to do so
  • Correction of your personal data;
  • Reports to all parties to whom we have previously disclosed your personal information, if such reporting is at all possible and does not involve unreasonable effort on the part of the Werbekoordinator Foundation;
  • Directly transfer your personal data from the Werbekoordinator Foundation to third parties;
  • The right to limit, fully or partially withdraw consent to the processing of personal data;
  • Deletion of your personal information provided:
  • Per your request;
  • If you withdraw your consent to processing;
  • When there is no longer a reason to process your personal data.

31 The Werbekoordinator Foundation provides you with the opportunity to delete your account at any time in its Virtual Office. From that moment on, we will stop processing your personal data in any possible way, including the processed information regarding your account, previously processed on the basis of the legal interest of the implementation of our terms and conditions and the concluded contract. We will delete all data previously collected, without the possibility of recovery except for the selected one parameter, allowing to identify the renewed attempt to register. In order to carry out an effective deletion of your account, you must perform the following steps on the Werbekoordinator Foundation Portal:

  • Log in to your account with your identification information username, ID number or scan your QR code, enter your access password;
  • Go to the “Virtual Office” tab;
  • Select from the “Menu” – “My personal information”;
  • Scroll to the very bottom of the personal information page;
  • Click the “Delete my account” link;
  • Then confirm by clicking on the link selecting “Permanently delete My Account” link.
  • Optionally, you can provide a reason for deleting your account.

32.Re-registration of your account is possible after a period of 12 months from the date of deletion of your account. Re-registration will not restore your previous data and information and you will not be able to use your previous financial balance. By re-registering you will be able to use a new referrer from existing referrers in the database of other Promoters.

33 If you believe that your rights or legitimate interests have been violated, you have the right to file a complaint with the competent state authority. In the European Union, you may file a complaint with the supervisory authority in the relevant European Union Country.

33.1. If you believe that the automated processing of your personal data violates your rights and interests requiring protection, or creates significant inconvenience for you, we will ensure the participation of relevant persons in correcting the results of the automated processing, and with this we will exercise your right to lodge a complaint regarding the use of automated safeguards for the decisions made.

33.2. In addition, notwithstanding the provisions throughout the above document, we emphasize that you have the opportunity to object to the processing of your personal data for Direct Marketing purposes. In this case, we will cease further processing and delete your personal data. The provisions of this section do not in any way limit your right to object to the processing of your personal data for other purposes.

34 This agreement only specifies how your personal data will be processed by Werbekoordinator Foundation, not by any other person. Processing of your personal data by others, for example, when you click on a link to another Partner’s site outside of the portal belonging to Werbekoordinator Foundation, is not subject to this agreement, unless specific exceptions are expressly stated in it

35.1. If there is a provision in the contract that you do not understand, we will provide all necessary explanations.

Section 3 – Cookies Policy

Cookie Policy of the Werbekoordinator Foundation Portal, at the Internet address https://werbekoordinator.pl owned by the Werbekoordinator Foundation, registered in the National Court Register, District Court Katowice – East in Katowice, VIII Economic Department of the National Court Register under the number: 0001135818.

  1. The term “cookies” should be understood as IT data stored on the users’ terminal equipment, intended for use of the websites on the Werbekoordinator Foundation Portal. In particular, these are text files containing the name of the website from which they originate, the time they are stored on the end device and a unique number.
  2. The website does not automatically collect any information, except for the information contained in cookies.
  3. Cookies are intended for the use of the pages of the Werbekoordinator Foundation Portal. Werbekoordinator Foundation, as Operator, uses these files to:
  1. The ability to log in and maintain a user session on each subsequent page of the website;
  2. to tailor the content of the website to your individual preferences, primarily these files recognize your device in order to display the site according to your preferences;
  3. to create anonymous statistics excluding the possibility of user identification;
